Who you're dealing with
"DWA", "we", "us" and "I" mean Detroit Web Agent, 15121 Kercheval Ave, Grosse Pointe Park, MI 48230. Contact: matt@detroitwebagent.com or (313) 992-1219. "You" means the person or business using this site or buying a service.
DWA is a sole proprietorship, not a corporation or an LLC. Matt Michels is the owner and the person accountable for every agreement. DWA's AI partner can answer questions, but it can't sign, accept or change any agreement, quote or terms.
How these terms fit with your proposal
Every paid service is set out in writing before you pay: a written proposal, or, for a service bought online, the order page and your receipt. That document sets your scope, your price, your schedule and any initial term. These terms cover everything it doesn't. Where the two disagree, your proposal or order controls.
Prices on this website are list and founding prices, shown for information. The number in your proposal or order is the number you pay.
Using this website
You can read, share and link to this site. Don't try to break it, overload it, scrape it in bulk, or use it to send spam or anything unlawful.
I keep the site accurate and label what's proven and what isn't. Even so, it's general information, not a promise of results for your business. Services change, and I update the site when they do.
Payment
- Website builds: the deposit is due on receipt of the invoice once you accept the proposal, and work starts when it's received. The balance is due 15 days after launch (Net 15), unless your proposal says otherwise.
- Monthly services start on the 1st of the month after you sign up or add them, and the first month of the plan is free. After that they're billed on the 1st of each month, in advance, on auto-pay, until you cancel. You're never billed for part of a month. Bank transfer (ACH) is preferred; card works too.
- Late balances may carry a late fee at the rate stated in your proposal.
Payments are processed securely by Stripe. DWA never sees or stores your full card number or bank account details. Invoices, receipts and saved payment methods are handled through Stripe.
Allowances and rounds of changes
Monthly allowances reset on the 1st. Unused items don't carry over. Each piece includes 2 rounds of changes; a full rewrite after that uses one item from your allowance.
- Website builds: 2 rounds of changes on the full preview, plus 1 polish round after launch. Extra changes or new pages are quoted before we start.
- Local Starter: Two rounds of changes before it goes live: tell me everything you'd change, I update it, then one more pass.
- Site care: Up to 2 hours of site edits a month (text, photos, prices, hours, a new section on an existing page). Unused time doesn't carry over. Extra time is quoted before we start.
- LinkedIn: 2 posts a week (8-9 a month). Instagram + YouTube Video: 20 content credits a month, for example 4 short videos and 8 feed posts.
Terms, cancelling and leaving
A website build is a one-time project, not a subscription. Which monthly services carry a term:
- The Growth Plan is month to month with no minimum term. A plan that began under an earlier written proposal keeps the term stated in that proposal.
- Add-ons (missed-call text-back, the AI assistant, and the other monthly services on the price list) are month to month.
- You can cancel the Growth Plan or any add-on at any time. There's no notice period. The month you've paid for runs to its end and you aren't billed again.
- If your written proposal includes a build credit or a minimum term (for example, one signed before October 4, 2026), the figures in your proposal apply to you, and your proposal controls.
- You can pause any add-on, or the whole plan, for 1 to 3 months. Billing and new content stop while paused, then restart on their own, with a reminder email 7 days before.
- If your proposal sets a different term for your plan, your proposal controls, as it does everywhere else in these terms.
Cancel any time in your Hub: Plan & billing, then Cancel. You can cancel the whole plan or any single add-on. It takes effect at the end of the month you've already paid for, you get a confirmation email, and you can undo it from the same screen until that date. You can also tell me by email or text. You own everything
- Your domain and DNS are yours from day one.
- Your hosting account is yours.
- Your code, design and content are yours, once paid in full.
- Your Google Business Profile, LinkedIn, Instagram and YouTube stay yours. I manage them. I don't own them.
- Your lead and radar data is yours.
- If you leave, you get a full data export, your accounts handed back with our access removed, and a written handover checklist.
What DWA keeps: its own software and tools, including the Client Hub. You get to use them while you're a client, and your data in them can be exported. Open-source code, fonts, stock media and other third-party pieces stay under their own licenses.
Access to your accounts
Some services need access to your accounts, such as Google, LinkedIn, Meta, your domain registrar or your hosting. You grant that access, I use it only for the work you've asked for, and you can revoke it any time. I'm added as a manager or admin, never as the owner.
Your part
- Give accurate information about your business, and only send content (photos, logos, text) you have the right to use.
- Review what's waiting for your approval. Nothing posts under your name without your OK.
- If you choose the wording of a message we send for you, such as your missed-call text, make sure it's lawful and true. See SMS Terms.
AI-assisted work
I use AI for research, drafting and QC. Everything it drafts gets a human review before it goes out, and anything public under your name needs your approval. The AI Disclosure explains exactly where AI is used.
Other companies' platforms
Many services run on platforms I don't control: Google, LinkedIn, Meta, YouTube, Twilio and the phone carriers, Stripe, and hosting and domain providers. They set their own rules, approvals, outages and policy changes. I'll tell you when one of them affects your service, but I can't be responsible for their decisions.
I don't guarantee rankings, leads, reviews, sales or message delivery. The site labels which services are proven and which are still being proven, and I stand behind that labeling.
Warranties and liability
I do the work carefully and professionally, as described in your proposal.
30-day fix window on website builds: for 30 days after your site launches, if something I built doesn't work the way your proposal describes (a broken page, link, form or layout), I fix it at no charge. New features, new content, and problems caused by someone else's changes or by an outside service aren't covered; I'll quote those first.
Rounds of changes on a website build: 2 rounds of changes on the full preview, plus 1 polish round after launch. Extra changes or new pages are quoted before we start.
Beyond what your proposal and this section promise, the site and services are provided as they are, without other warranties, to the extent the law allows.
If something goes wrong, DWA's total liability to you is capped at the fees you paid in the 12 months before the claim. Neither side is liable for indirect or consequential losses, such as lost profits, to the extent the law allows. Nothing here limits liability that can't legally be limited.
If the business changes form
DWA may move its agreements to a company it forms or that takes over the business, such as an LLC owned by Matt Michels. Your rights and prices stay the same.
General
Your proposal or order, these terms and the policies linked from them are the whole agreement between us about the service. If a court finds any part of these terms unenforceable, the rest still applies. Not enforcing a term right away doesn't waive it.
Neither side is responsible for a delay caused by something outside its reasonable control, such as a platform outage, a carrier or internet failure, or severe weather. The affected side will say so promptly and pick the work back up as soon as it can. This doesn't excuse paying for work already done.
Disputes and governing law
If there's a problem, call or email me first. Most things get fixed in one conversation.
These terms and any agreement with DWA are governed by the laws of the State of Michigan. Any court case will be brought in the state or federal courts located in Michigan.
Changes to these terms
When these terms change, the new version is posted here with a new date. A change doesn't alter a signed proposal partway through its term unless we both agree in writing.
